Grant Writing Service Agreement 

The following is an agreement between 808 Talent Source, LLC, located at 1317 Edgewater Dr., Ste. 458, Orlando, Florida 32804 ("Consultant"), and the Client, who agrees to the Terms and Conditions of this Agreement by making a purchase.

1. Services: Services to be provided Consultant agrees to provide grant writing services to Client for the purpose of preparing and submitting grant proposals. The services provided by Consultant are strictly limited to the preparation of grant proposals, and Consultant makes no guarantee that Client will receive any grant award. However, Consultant guarantees that the grant proposals submitted on behalf of Client will be of the highest quality and position Client to be highly competitive in the grant application process.

2. Compensation: Client agrees to pay Consultant a fee of $185.00 per hour with a minimum of 3 hours per grant writing service provided. The fee will be due upon execution of this Agreement.

3. Payment Terms: Client shall pay the Consultant the agreed-upon fee within 1-3 days after receipt of an invoice from the Consultant for the agreed-upon grants for the month. In the event of non-payment or late payment, Consultant reserves the right to suspend services and/or terminate this Agreement.

4. Client's Responsibilities: Client agrees to communicate in a timely and effective manner with Consultant, to provide all requested information and materials promptly, and to provide accurate and truthful information to Consultant in order to facilitate the grant writing process. Failure to provide necessary information or to communicate effectively may result in delays in the grant writing process or may impact the quality of the grant proposals prepared by Consultant.

5. Term and Termination: This Agreement shall commence on the date of execution and shall continue until the services are completed, or until terminated by either party. Either party may terminate this Agreement upon written notice to the other party.

6. Confidentiality: Consultant agrees to keep all Client information and data confidential, and to not disclose any confidential information to any third party without the express written consent of Client.

7. Ownership of Work Product: All work products created by Consultant in the course of providing grant writing services to Client shall be the exclusive property of Client.

8. Public Announcements: Consultant may use Client’s name and/or logo in its marketing and promotional materials and on its website, provided that Consultant receives written permission from Client. Consultant may also publicize Client's wins and successes related to the grant writing services provided by Consultant, provided that Consultant receives written permission from Client before making any public announcements.

9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Florida, United States of America, and any dispute arising under or in connection with this Agreement shall be resolved in accordance with the laws of Florida, United States of America.

10. Entire Agreement: This Agreement constitutes the entire agreement between Consultant and Client and supersedes all prior negotiations, understandings, and agreements between the parties with respect to the subject matter hereof.
