Agreement between you, the user, and www.808talentsource.com owner-operator of the 808 Talent Source, LLC and all products and services related to the company.

Welcome to www.808talentsource.com (the "Site") is owned and operated by 808 Talent Source, LLC, a limited liability company organized and existing under the laws of the State of Florida, with its principal place of business located in Orlando, Orange County, Florida. By using the Site, you agree to be bound by these Terms and Conditions and to use the Site in accordance with these Terms and Conditions, our Privacy Policy, and any additional terms and conditions that may apply to specific sections of the Site or to products and services available through the Site or from the 808 Talent Source, LLC.

We reserve the right to change these Terms and Conditions or to impose new conditions on the use of the Site, from time to time, in which case we will post the revised Terms of Service on this website. By continuing to use the Site after we post any such changes, you accept the Terms of Service, as modified.

A. PRIVACY POLICY

The 808 Talent Source, LLC. respects your privacy and permits you to control the treatment of your personal information. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

B. GOVERNING LAW

These terms are governed by Florida law. Any contract for the purchase of products and services from this site and any dispute or claim arising out of or in connection with any such contract will be governed by Florida law. You and we both agree that the courts of Orange County, Florida will have non-exclusive jurisdiction and venue for any legal proceedings arising from or related to these Terms of Use or your use of our services.

C. AGE

808 Talent Source, LLC, does not knowingly collect, either online or offline, personal information from persons under the age of eighteen. The site is intended only for users aged 18 or older. Individuals under the age of 18 are strictly prohibited from creating an account on the site and the accounts for any such person shall be terminated upon detection.

D. USER ACCOUNT

To access certain features of the Site, we may ask you to provide certain information such as name and e-mail address. You agree to provide true, accurate, current, and complete information about yourself as prompted by the Site's registration form. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that 808 Talent Source, LLC is not responsible for third-party access to your account that results from theft or misappropriation of your account. If we have reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, we reserve the right to suspend or terminate your account and refuse any and all current or future use of the Site.

E. CONTENT

By posting, downloading, displaying, performing, transmitting, or otherwise distributing information or other content to the Site, you are granting 808 Talent Source, LLC and its associates a license to use, copy, distribute, transmit, display, reproduce, edit your content. And by posting content to the website, you warrant that you own the rights to the content or authorized to post, display, transmit the content. You agree not to post, display, perform, transmit any content that are libelous, defamatory, obscene, pornographic, abusive, or threatening; advocates or encourages conduct that could constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national, or foreign law or regulation; advertises or otherwise solicits funds or is a solicitation for goods or services. 808 Talent Source, LLC reserves the right to terminate your receipt, transmission, or other distribution of any such material using the Service, and, if applicable, to delete any such material from its servers.

F. VIOLATIONS

808 Talent Source, LLC and its associates reserve the right to refuse or cancel service, terminate accounts, or remove, or edit content at our sole discretion.

808 Talent Source will terminate a client's agreement within 30-days from the date of their initial payment and will not offer refunded or retroactive services if the client does not actively engage services of their Assigned Virtual Assistant or make an appointment to meet that Virtual Assistant.

G. SERVICE AGREEMENT AND TERMINATION POLICY

Client-Initiated Termination

Clients must provide thirty (30) days written notice to 808 Talent Source, LLC prior to terminating their service agreement. Notice must be submitted in writing via email to [email protected] or by certified mail to our business address in Orlando, Orange County, Florida. The termination will become effective thirty (30) days from the date of receipt of such written notice.

Automatic Termination

808 Talent Source, LLC reserves the right to terminate service agreements immediately for violation of these terms, non-payment, or other breach of contract.

H. VIRTUAL ASSISTANT HOURS AND USAGE POLICY

Monthly Hour Allocation

All unused hours allocated to an assigned virtual assistant in any given month do not roll over to the following month. Hours reset at the beginning of each billing cycle.

Client Responsibility

The client is expected and responsible for ensuring that their assigned virtual assistant has adequate work to perform during the agreed-upon time period each month.

Hour Management and Additional Services

When a virtual assistant is within three (3) hours of their monthly allotted time, they will notify the client of the remaining hours. At this point, the client may choose to:

- Allow the virtual assistant to cease work after completing their allotted hours and continue with new assignments the following month; or

- Purchase additional hours in 5-hour or 10-hour packages to complete work within the current month

Additional hour packages must be purchased and paid for before work can continue beyond the monthly allocation.

I. PROHIBITION OF DIRECT HIRING AND OUTSIDE AGREEMENTS

Clients are strictly prohibited from:

- Attempting to hire, contract with, or engage any 808 Talent Source, LLC virtual assistant or talent directly

- Working with our virtual assistants outside of the agreed-upon service agreement

- Soliciting our virtual assistants for independent work or employment

- Facilitating any form of direct payment or compensation to our virtual assistants

Violation of this provision will result in immediate termination of service and may result in legal action to recover damages, including but not limited to liquidated damages equivalent to twelve (12) months of the client's current service agreement value.

J. PAYMENT TERMS AND FEES

Late Payment Fee

All invoices are due within three (3) calendar days of the invoice date. Payments not received within this period will incur a late fee of twenty-five dollars ($25.00), added to the outstanding balance.

Insufficient Funds Fee

Any payment that is returned, dishonored, or otherwise fails to clear will be subject to an insufficient funds fee of forty dollars ($40.00) in addition to the original invoice balance.

K. AFFILIATED SITES

808 Talent Source, LLC has no control over, and no liability for any third-party websites or materials. Neither 808 Talent Source, LLC nor the Site has control over the content and performance of these partner and affiliate sites, 808 Talent Source, LLC makes no guarantees about the accuracy, currency, content, or quality of the information provided by such sites, and 808 Talent Source, LLC assumes no responsibility for unintended, objectionable, inaccurate, misleading, or unlawful content that may reside on those sites. You acknowledge and agree that 808 Talent Source, LLC makes no guarantees about, and assumes no responsibility for, the accuracy, currency, content, or quality of this third-party content, and that, unless expressly provided otherwise, these Terms and Conditions shall govern your use of any and all third-party content.

L. PROHIBITIONS

You are prohibited from violating or attempting to violate any security features of the Site or Service, including, without limitation, accessing content or data not intended for you, or logging onto a server or account that you are not authorized to access; attempting to probe, scan, or test the vulnerability of the Service, the Site, or any associated system or network, or to breach security or authentication measures without proper authorization; interfering or attempting to interfere with service to any user, host, or network, including, without limitation, by means of submitting a virus to the Site or Service, overloading, "flooding," "spamming," "mail bombing," or "crashing"; using the Site or Service to send unsolicited e-mail, including, without limitation, promotions, or advertisements for products or services; forging any TCP/IP packet header or any part of the header information in any e-mail or in any posting using the Service; attempting to modify, reverse-engineer, decompile, disassemble, or otherwise reduce or attempt to reduce to a human-perceivable form any of the source code used by 808 Talent Source, LLC in providing the Site or Service.

M. LIABILITY

The information, software, products, and services included in or available through the site may include inaccuracies. This site is continually under development and 808 Talent Source, LLC makes no warranty of any kind, implied or express, as to its accuracy, completeness, or appropriateness for any purpose. 808 Talent Source, LLC may make improvements and/or changes in the site at any time. To the maximum extent permitted by applicable law, in no event shall 808 Talent Source, LLC and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the site, with the delay or inability to use the site or related services, the provision of or failure to provide services, or for any information, software, products, services and related graphics obtained through the site, or otherwise arising out of the use of the site, whether based on contract, tort, negligence, strict liability or otherwise, even if 808 Talent Source, LLC or any of its suppliers has been advised of the possibility of damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. If you are dissatisfied with any portion of the site, or with any of these terms of use, your sole and exclusive remedy is to discontinue using the site.

N. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless 808 Talent Source, LLC, its affiliates, officers, directors, employees, consultants, agents, and representatives from any and all third party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from your access to or use of the Site, your violation of these Terms of Use, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity. 808 Talent Source, LLC will notify you promptly of any such claim, loss, liability, or demand, and will provide you with reasonable assistance, at your expense, in defending any such claim, loss, liability, damage, or cost.

O. MODIFICATION OF TERMS

These Terms and Conditions are subject to change at any time at the sole discretion of 808 Talent Source, LLC. Clients will be notified as soon as changes take place through email notification to the address on file and/or posting of updated terms on the website. Continued use of services after notification of changes constitutes acceptance of the modified terms.
